MUSIC LICENSE AGREEMENT

WITNESSETH:

DEFINITIONS

The terms in this Music License Agreement shall be understood in the way the terms are used in this agreement. It shall only be differently construed when such is provided in the provisions.

TERM OF AGREEMENT

[SPECIFY THE CONDITIONS THAT WOULD ALLOW VALID EXTENSION OF THIS MUSIC LICENSE AGREEMENT. INCLUDE ANY FEES TO BE PAID TO WARRANT SUCH EXTENSION AS WELL AS THE PERIOD OF EXTENSION]; and
[SPECIFY THE CONDITIONS THAT WOULD ALLOW VALID EXTENSION OF THIS MUSIC LICENSE AGREEMENT. INCLUDE ANY FEES TO BE PAID TO WARRANT SUCH EXTENSION AS WELL AS THE PERIOD OF EXTENSION].

TERRITORY

The Agreement entered into by [SPECIFY THE NAME OF THE COMPANY OR LICENSOR] and [SPECIFY THE NAME OF THE LICENSEE] shall only be made available in [SPECIFY THE PLACE OR TERRITORY WHERE THE WORK OR MUSICAL COMPOSITIONS COVERED BY THIS AGREEMENT BE MADE AVAILABLE]. Any use or distribution of the said [SPECIFY THE WORK OR MUSICAL COMPOSITIONS COVERED BY THIS AGREEMENT] outside the aforementioned territory shall be subject to:

RIGHTS OF THE PARTIES
a. Rights of the Licensor

5.a. Duties of the Licensor

5.a.4. [STATE THE DUTIES AND RESPONSIBILITIES OF THE COMPANY AS THE LICENSOR OF THE WORK OR MUSICAL COMPOSITION].

5.b. Duties of the Licensee

COVERED WORK OR MUSICAL COMPOSITION

This Music License Agreement by [SPECIFY THE NAME OF THE COMPANY OR THE LICENSOR] and [SPECIFY THE NAME OF THE LICENSEE] covers the following works and musical composition:

FEES

The grant of rights by [SPECIFY THE NAME OF THE COMPANY OR THE LICENSOR] to [SPECIFY THE NAME OF THE LICENSEE] in the use or distribution of [SPECIFY THE NAME OF THE LICENSEE] shall entitle the Licensor to certain fees based on:

[STATE THE FACTORS IN THE COMPUTATION OF THE FEES PAYABLE TO THE COMPANY OR LICENSOR FOR THE USE OR DISTRIBUTION OF THE COVERED WORK OR MUSICAL COMPOSITION].

MODE AND TERMS OF PAYMENT

8.b. As to Payment Terms

[STATE THE DESIRED TERMS BY THE PARTIES – WHETHER IT BE A LUMP SUM OR ON INSTALLMENT BASIS. INCLUDE THEREIN ANY INTEREST].

OTHER FEES, TAXES AND EXPENSES

In the execution of the provisions of this agreement, other fees, taxes and expenses may be incurred. Such payables shall be shouldered in the following manner:

[STATE THE CIRCUMSTANCES THAT WOULD MAKE A PARTY LIABLE FOR THE SAID FEES, TAXES AND EXPENSES, THE PROPER ALLOCATION OF SUCH PAYABLES AND THE TERM OF PAYMENT].

CHANGES IN THE PROVISIONS

Any changes in the terms and conditions stipulated in this Music License Agreement shall only be limited to:

[STATE THE CIRCUMSTANCES THAT WOULD ALLOW CHANGES IN THE PROVISIONS, DESCRIBING THEREIN THE OLD AND NEW PROVISION AND STATE WHETHER SUCH CHANGES REQUIRE THE APPROVAL OF BOTH PARTIES]; and
[STATE THE CIRCUMSTANCES THAT WOULD ALLOW CHANGES IN THE PROVISIONS, DESCRIBING THEREIN THE OLD AND NEW PROVISION AND STATE WHETHER SUCH CHANGES REQUIRE THE APPROVAL OF BOTH PARTIES].

BREACH OF THE AGREEMENT

The provisions of this Agreement shall be upheld with utmost diligence. Any infraction of the provisions shall make one liable for:

TERMINATION OF THE AGREEMENT

This Music License Agreement shall cease its validity upon the commission of the acts enumerated below:

COPYRIGHTS PROTECTION AND LICENSING

Under [SPECIFY THE PROVISIONS ON COPYRIGHT LAWS OF THE COUNTRY INCLUDING INTERNATIONAL COPYRIGHT LAWS AND TREATIES], [SPECIFY THE NAME OF THE COMPANY OR LICENSOR] and [SPECIFY THE NAME OF THE LICENSEE] agree to the following:

[SPECIFY THE AGREEMENT OF THE PARTIES AS TO THE RIGHTFUL HOLDER OF THE COPYRIGHT AND OWNERSHIP OF THE WORK OR MUSICAL COMPOSITION WITHIN THE BOUNDS OF THE COPYRIGHT LAWS]; and
[SPECIFY THE AGREEMENT OF THE PARTIES AS TO THE RIGHTFUL HOLDER OF THE COPYRIGHT AND OWNERSHIP OF THE WORK OR MUSICAL COMPOSITION WITHIN THE BOUNDS OF THE COPYRIGHT LAWS].

The preceding stipulations shall govern and any infringement of the said provisions shall hold the party responsible for the following:

CHOICE OF LAW AND FORUM

Any conflict arising from this Music License Agreement shall be settled in the following manner:

[SPECIFY THE MANNER OF SETTLEMENT OF DISPUTES ARISING FROM THIS AGREEMENT USING THE PROVISIONS HEREIN AND OTHER GOVERNING LAWS AND TREATIES. STATE AS WELL THE PREFERRED FORUM FOR THE SETTLEMENT OF LEGAL MATTERS IF REMAIN UNSETTLED].

NON-DISCLOSURE AND CONFIDENTIALITY CLAUSE

In the pursuit of the objectives of this Music License Agreement, [SPECIFY THE NAME OF THE COMPANY OR LICENSOR] and [SPECIFY THE NAME OF THE LICENSEE] are expected to have an open communication and shall disclose to each other certain information on:

Failure to observe this shall hold the party legally responsible for:

SEVERABILITY CLAUSE

[SPECIFY THE NAME OF THE COMPANY OR LICENSOR] and [SPECIFY THE NAME OF THE LICENSEE] bind that when a provision of this agreement or any part thereof is found to be void, such shall not affect the legality of the entire Music License Agreement. The rest of the provisions shall stand still and continue to bind the parties herein.

SCOPE OF THE AGREEMENT

The parties – [SPECIFY THE NAME OF THE COMPANY OR LICENSOR] and [SPECIFY THE NAME OF THE LICENSEE] hereby signify to have fully read and understood the terms and conditions of this Agreement and intend to be bound by it.

Settlement of Disputes, Governing Law & Arbitration

Any dispute and/or difference arising out of, or relating to this agreement including interpretation of its terms will be resolved through joint discussion by the authorized representatives of both the parties. Moreover, if the disputes are not resolved by discussion then the matter will be referred for adjudication to the Arbitration of a Sole arbitrator.
This Agreement shall be governed by the laws of India. The Courts in Mumbai (City Name) shall have exclusive jurisdiction over the subject matter of this Agreement.
In the event of any dispute or differences arising out of or in connection with this agreement, the parties hereto, agree to resolve their dispute by a sole arbitrator chosen by the parties in fast track procedure under the provision of Sec29B of Arbitration and Conciliation act of 1996. The award under this section shall be made within a period of 6 months from the date of commencement of the arbitral tribunal proceedings.
The arbitration proceedings shall be conducted in English. The place of Arbitration shall be Mumbai (City Name). The award passed in the arbitration proceedings shall be final and binding on both the parties.
The cost of arbitration proceedings shall be equally borne by both the parties.
Each party shall individually bear the fees of their respective Advocate/Counsel for the proceedings.
